These Terms of Use are the agreement between you and Tendanto Ltd for using Moodella: the Moodella app for Android (and for iPhone, when it comes) and the website moodella.com (together, “Moodella”); “Who we are” below says who we are and how to reach us. Please read them together with the Privacy Policy, which explains what data Moodella handles.

You accept these terms when you first open the app: its first screen asks you to confirm that you're 18 or over and that you accept them. If you don't agree with them, please don't use Moodella.

Moodella is provided by Tendanto Ltd (“we”, “us”), a private limited company registered in England and Wales at Companies House under company number 17481182, with its registered office at 71–75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom. 5. What Moodella is, and what it isn't

Moodella helps you notice patterns. Each day you note your mood, your feelings, what helped, what weighed on you and what you put off, and you can look back at them. It's a tool for reflection.

6. Free and Pro

Pro is a Google Play subscription, monthly or yearly, with a 7-day free trial for new subscribers where Google Play offers one. Google Play shows the price, the period and when a trial ends before you buy, and the subscription renews at the end of each period until you cancel it. Pro is tied to your Google Play account: on another Android phone with the same account it comes back, by itself or with “Restore purchases”, and it doesn't carry over to iPhone. You cancel it in Google Play, and refunds follow Google Play's refund policy. Your statutory rights as a consumer are not affected.

Until Pro goes on sale, no purchase is offered, nothing can be charged, and the daily reading is free for everyone. Before the daily reading becomes part of Pro, we'll say so on this page at least 30 days beforehand.

If you stop Pro, you keep everything you logged, and all your days stay visible on Free.

7. Passes

We may give a pass that unlocks Pro in the Android app, free of charge, to app store reviewers and to our staff. A pass works until the date in it. It is only for the person we give it to: don't share or sell it. We can withdraw a pass at any time, for example if it has been shared, and the app then removes it.

The app may show notices and switch some features on or off using a small settings file it downloads from our server, for example to pause new readings while we fix a problem. The file is the same for everyone and carries nothing about you. Your journal works without it, and a notice never keeps you from your journal.

11. Our rights in Moodella

Moodella's software, design, name, logo and texts belong to us or to those who license them to us. As long as you follow these terms, we give you a personal, non-exclusive, non-transferable right to use Moodella for yourself. This doesn't give you any other right to our brand or code.

12. Changes to Moodella

We keep improving Moodella, so features can change, move between Free and Pro, or be removed, for example to improve the app, for security, because a provider we rely on changes, or because the law requires it. Whatever changes, you'll always be able to export and delete what you've logged. If we remove a feature from the free version or move it to Pro, we'll say so on this page at least 30 days beforehand and change the date at the top.

The app works on your phone without our server, but updates, the settings file and Google Play's services can be interrupted for maintenance or for reasons outside our control. Keep a backup of what matters to you.

14. What we can and can't promise

We build Moodella with care. If you pay for Pro, it will match its description and work as it should; if it doesn't, you have the remedies the law gives you where you live, such as having it put right, a price reduction or a refund. Beyond that, we can't promise that Moodella will be free of errors or always available, or that using it will lead to any particular result for your wellbeing. Nothing here limits the rights you have as a consumer.

If we break these terms or don't take reasonable care, we're responsible for the loss or damage you suffer that was a foreseeable result. As far as the law allows, we aren't responsible for losses that neither you nor we could have expected when you accepted these terms, for losses caused by events outside our reasonable control, or for business losses, because Moodella is for personal use.

Your journal is kept only on your phone, so a phone lost or reset without a backup loses it. We're responsible for that only if it happens because of something we did wrong, such as a fault in the app.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law doesn't allow us to limit, and nothing in them affects your statutory rights as a consumer or your rights under data protection law.

16. Other companies' services

Google Play (downloading the app, buying Pro, updates and the age check), Android's device backup and Google Drive are run by Google under its own terms, and the App Store by Apple under its own. We aren't responsible for those services, but we are responsible for Moodella itself.

17. App store terms

If you use the iOS app, these terms are between you and us, not Apple, and we, not Apple, are responsible for the app and its content. You may use the app on any Apple device you own or control, as the Usage Rules in the Apple Media Services Terms and Conditions allow; people in your Family Sharing group can download it too, each keeping their own journal on their own device. Apple has no obligation to maintain or support the app. If the app fails to meet a warranty that applies to it, you can tell Apple, and Apple will refund the price you paid for it, if any; as far as the law allows, Apple has no other warranty obligation for it, and anything else arising from that failure is our responsibility.

We, not Apple, deal with any claims about the app or your use of it, including product liability claims, claims that it doesn't meet a legal or regulatory requirement, claims under consumer protection, privacy or similar laws, and claims that it infringes someone's intellectual property rights. When you use the app, follow any other agreements that apply to you, such as the one with your mobile network. You confirm that you aren't in a country that is subject to a US government embargo or that the US government has designated as a “terrorist supporting” country, and that you aren't on a US government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these terms and, once you accept them, may enforce them against you. The iOS app is licensed under Apple's standard licence agreement (EULA); this section is the set of additions Apple asks for on top of it.

If you use the Android app, Google Play's terms also apply to downloading it and to anything you buy through Google Play.

18. Changes to these terms

We may update these terms when Moodella's features or plans change, when the law or an authority requires it, to make something clearer, or for security. Every change is published on this page and the date at the top changes with it, so that date tells you which version you are reading; the app may also show a notice about it. For a significant change, the new text goes up here at least 30 days before it applies; changes required by law or for security may apply sooner. We don't have your email address, so this page is the place to check.

When an app update comes with a new version of these terms, the app asks you to accept it before you carry on. If a change doesn't work for you, you can stop using Moodella: export your journal first if you want a copy (see “Stopping Moodella”).

19. Governing law and disputes

These terms are governed by the law of England and Wales. If something goes wrong, please write to us first at support@tendanto.com; most problems are easier to solve that way.

If you're a consumer, you keep the protection of the mandatory laws of the country where you live, and you can bring a claim in the courts where you live. In the UK, that means the courts of England and Wales, of Scotland or of Northern Ireland, depending on where you live; if you live in a different part of the UK from us, you can also choose the courts of England and Wales. We can only bring a claim against you in the courts where you live.
